Kirkland & Ellis advised Kimberly-Clark Corporation (NASDAQ: KMB) on its agreement to acquire Kenvue Inc. (NYSE: KVUE) in a cash-and-stock transaction, while Kenvue was represented by its own legal counsel. The transaction, valued at approximately $48.7 billion based on Kimberly-Clark’s closing stock price on October 31, 2025, combines two iconic American companies to create a portfolio of complementary products that serve nearly half the global population. The combined company is expected to generate pro forma annual net revenues of over $32 billion and approximately $7 billion of adjusted EBITDA, with anticipated synergies of $2.1 billion. Kenvue shareholders will receive $3.50 per share in cash and 0.14625 Kimberly-Clark shares for each Kenvue share held, with Kimberly-Clark shareholders owning approximately 54% and Kenvue shareholders owning approximately 46% of the combined company upon closing. The transaction is expected to close in the second half of 2026, subject to shareholder and regulatory approvals.
