Kirkland & Ellis advised ORIX Capital Partners and its portfolio company Specialty Welding and Turnaround (SWAT) on the sale of SWAT to Brown & Root Industrial Services (Brown & Root), owned by One Equity Partners and KBR. The transaction involved the sale of SWAT, a leading provider of turnaround, cooling tower, and industrial catalyst services to blue-chip customers in the refinery, petrochemical, and renewables end-markets. SWAT operates across 22 states with a network of approximately 32,000 highly skilled professionals. The combination of SWAT with Brown & Root creates one of the largest specialty welding and turnaround service providers in North America. Kirkland & Ellis previously advised ORIX Capital Partners on the acquisition of SWAT in 2020 and on multiple add-on acquisitions, including Midwest Cooling Tower Services, Hydroprocessing Associates, and Breathing Systems Inc.
