"Clifford Chance Advises on Financing for Cicor Technologies' Acquisition of TT Electronics"

"Clifford Chance, a global law firm, has advised lenders on the financing of Cicor Technologies' acquisition of TT Electronics. The deal, valued at CHF303 million (£287 million), will be financed through senior term debt facilities and newly issued Cicor shares. The acquisition, expected to close in the first half of 2026, will create a combined entity with revenues exceeding CHF1.2 billion, enhancing capabilities in defense and high-security sectors across Europe and North America. Cicor Technologies specializes in electronic manufacturing services, while TT Electronics focuses on engineered electronics for performance-critical environments."

Clifford Chance advised the lenders, Commerzbank Aktiengesellschaft and UBS Switzerland AG, on the financing of Cicor Technologies Ltd.’s acquisition of TT Electronics PLC. The transaction, valued at approximately CHF303 million (£287 million), involves Cicor Technologies acquiring TT Electronics through a UK court-sanctioned scheme of arrangement. The financing for the acquisition will be provided through a combination of senior term debt facilities and newly issued Cicor shares. The deal is expected to close in the first half of 2026, subject to shareholder and regulatory approvals. The combined entity will have revenues exceeding CHF1.2 billion and enhanced capabilities to serve defense and high-security sectors across Europe and North America.
