"Kering and L’Oréal Forge €4 Billion Strategic Partnership in Luxury Beauty and Wellness"

"Kering has entered into a strategic partnership with L’Oréal focused on luxury beauty and wellness. The agreement includes L’Oréal’s acquisition of Maison Creed, exclusive 50-year beauty and fragrance licenses for Kering’s iconic brands like Gucci, Bottega Veneta, and Balenciaga, and the creation of a joint venture to explore wellness and longevity opportunities. The deal is valued at €4 billion, with completion expected in the first half of 2026."

Darrois Villey Maillot Brochier assisted Kering, Macfarlanes provided support on English law aspects, Fromont Briens advised on social law matters, Arsène Taxand handled tax aspects, and BDGS advised L’Oréal. The transaction involved the conclusion of a long-term strategic partnership between Kering and L’Oréal in the luxury beauty and wellness sector. The agreement includes the acquisition of Maison Creed by L’Oréal, the establishment of exclusive beauty and fragrance licenses for iconic Kering brands, and the creation of a joint venture to explore development opportunities in wellness and longevity. Under the agreement, Kering retains the right to sell Kering Beauté, including Maison Creed, to L’Oréal. Additionally, the partnership grants L’Oréal exclusive 50-year licenses for the creation, development, and distribution of beauty and fragrance products for Gucci, Bottega Veneta, and Balenciaga. The transaction is valued at €4 billion, payable in cash upon completion, which is expected in the first half of 2026. L’Oréal will also pay royalties to Kering for the use of licensed brands. The Darrois Villey Maillot Brochier team included Bertrand Cardi, Christophe Vinsonneau, Forrest Alogna, Laurent Gautier, and Cécile de Narp (partners), Chaïmaa Hainoune and Michinari Mastumoto (corporate), Vincent Agulhon (partner, tax), Guillaume Aubron (partner), Hugo Flottes, and Mathieu Duvacher (competition law). Kering was further supported by Macfarlanes for English law aspects, Fromont Briens for social law matters, and Arsène Taxand for tax aspects. L’Oréal was advised by BDGS.
