Watson Farley & Williams (“WFW”) and Torys LLP participated in the transaction, with WFW acting as English law counsel to Alamos Gold Inc. (“Alamos”) and Torys LLP serving as Alamos’ lead legal counsel. The transaction involved the sale of Alamos’ Turkish subsidiary, Doğu Biga Madencilik Sanayi ve Tic. A.Ş. (“Doğu Biga”), to Tümad Madencilik Sanayi ve Ticaret A.Ş. (“Tümad”) for US$470m. The sale price will be paid in three instalments: US$160m upon completion of the transaction on 27 October, followed by payments of US$160m and US$150m on the one and two-year anniversaries of closing. The WFW team advising Alamos was led by Partner and Mining Lead Jan Mellmann and Corporate Partner Tony Edwards, supported by Senior Associates Thomas Newlyn and Shaun Young, and Associate Toby Hunt.
