"Alamos Gold Sells Turkish Subsidiary Doğu Biga to Tümad for $470 Million"

"Watson Farley & Williams (WFW) provided English law counsel to Alamos Gold Inc. for the US$470m sale of its Turkish subsidiary, Doğu Biga, to Tümad Madencilik. The payment will be made in three instalments over two years. Alamos is a Canadian gold producer, while Tümad is a Turkish mining group. The transaction was completed on October 27, with legal teams from WFW and Torys LLP advising on the deal."

Watson Farley & Williams (“WFW”) and Torys LLP participated in the transaction, with WFW acting as English law counsel to Alamos Gold Inc. (“Alamos”) and Torys LLP serving as Alamos’ lead legal counsel. The transaction involved the sale of Alamos’ Turkish subsidiary, Doğu Biga Madencilik Sanayi ve Tic. A.Ş. (“Doğu Biga”), to Tümad Madencilik Sanayi ve Ticaret A.Ş. (“Tümad”) for US$470m. The sale price will be paid in three instalments: US$160m upon completion of the transaction on 27 October, followed by payments of US$160m and US$150m on the one and two-year anniversaries of closing. The WFW team advising Alamos was led by Partner and Mining Lead Jan Mellmann and Corporate Partner Tony Edwards, supported by Senior Associates Thomas Newlyn and Shaun Young, and Associate Toby Hunt. Finance expertise was provided by Projects Partner Daisy East, while Dispute Resolution Partner Alexis Martinez advised on arbitration matters.
