"Tipico Group and Banijay Group to Merge, Creating Leading European Sports Betting Provider"

"Weil's offices in Munich, Frankfurt, and Paris are advising the founders of Tipico Group, a leading German sports betting provider, on a cross-border transaction with Dutch entertainment company Banijay Group. Banijay has agreed to combine its Betclic company with Tipico, creating a major European sports betting and online gaming entity valued at EUR 4.6 billion. CVC Capital Partners, Tipico's majority shareholder, will also sell part of its stake but remain invested. The deal is expected to close by mid-2026, pending regulatory approvals. Weil has a history of advising Tipico, having previously assisted in a 2016 stake sale to CVC."

Weil, Gotshal & Manges' Munich, Frankfurt, and Paris offices participated in a cross-border transaction advising the founders of Tipico Group, a leading German sports betting provider, in their agreement with Dutch entertainment company Banijay Group. In this transaction, Banijay signed a binding agreement to combine its group company Betclic with Tipico, creating one of the leading European providers of sports betting and online gaming. Tipico was valued at EUR 4.6 billion in this deal. CVC Capital Partners, the majority shareholder of Tipico, is also selling a portion of its stake, although both the Tipico founders and CVC will remain invested in the newly formed entity. The transaction is subject to standard closing conditions, including merger control and regulatory approvals, and is anticipated to close in mid-2026.
