Kirkland & Ellis Successfully Advises on Malaysia's Largest Cross-Border Restructuring for Vantris Energy Berhad

Kirkland & Ellis advised Vantris Energy Berhad (formerly known as Sapura Energy Berhad) on a significant restructuring transaction involving over RM12 billion (US$3 billion) in liabilities. This restructuring marks the largest cross-border restructuring ever completed in Malaysia, encompassing Shariah-compliant Malaysia law governed Sukuk, English law governed multi-currency conventional facilities, and various trade claims. The process, which concluded on September 26, 2025, spanned three years and included parallel schemes of arrangement in Malaysia, mediation through the Malaysia Central Bank’s Corporate Debt Restructuring Committee, and the recognition of a stay granted by Malaysian courts in multiple jurisdictions, including South Africa, Ghana, Congo, Brunei, Angola, Brazil, and Singapore, to protect assets globally. The sanctioned Malaysian scheme has also gained recognition in other key jurisdictions such as Brazil, Ghana, and the UAE.
