In the recent global offering and H-share listing of Fibocom Wireless on the Hong Kong Stock Exchange (HKEX), law firms Sullivan & Cromwell (S&C) provided legal counsel. S&C acted as Hong Kong and U.S. counsel to CITIC Securities (Hong Kong) as the sole sponsor, as well as to several underwriters including CLSA Limited, SDICS International Securities (Hong Kong), CMB International Capital, ABCI Securities Company, China Sunrise Securities (International), and Futu Securities International (Hong Kong). The transaction involved Fibocom Wireless achieving a market capitalization of $2.5 billion and raising gross proceeds of $374 million through a combination of a Hong Kong public offering and an international offering under Regulation S. The Hong Kong public offering was notably oversubscribed more than 500 times, while the international offering attracted 10 cornerstone investors who subscribed for H shares totaling $161 million. Fibocom is recognized as the second largest wireless communication module provider globally, holding a 15.4 percent market share and leading positions in various downstream application scenarios, including automotive electronics, smart home, and consumer electronics.
