Lefosse acted as deal counsel in a significant transaction involving the first issuance of incentivised debentures for public distribution under CVM 160, assisting both Itaú BBA Assessoria Financeira as the lead underwriter and Ineer Locação de Equipamentos II as the issuer, along with its shareholders, GMendes Participações and Ineer Locação, who served as guarantors. The transaction, valued at BRL 200 million, was aimed at financing the construction and operation of 21 distributed generation projects. The debentures were secured by a corporate guarantee from GMendes Participações and Ineer Locação, along with a comprehensive project finance collateral package that included security over the equipment, the issuer’s shares, real estate properties related to the projects, and receivables from project contracts.
