Weil Gotshal & Manges LLP advised EP Wealth Advisors LLC and its sponsor, Berkshire Partners, in a significant financial transaction. The deal involved a $400 million seven-year term loan due October 16, 2032, and a $100 million revolving credit facility maturing October 16, 2030. This financing is intended to support EP Wealth’s long-term growth strategy and was arranged in connection with a definitive agreement for Ares Management’s Private Equity funds to become significant minority investors alongside Berkshire Partners in the company. The Weil team was led by Banking & Finance partner Andrew Yoon, with contributions from Banking & Finance associates Virginia Dwyer, Richard Kenny, and Tess Savage. Additionally, Tax partner Graham Magill and associate Dylan Lionberger were involved, as well as Executive Compensation & Benefits partner Sarah Downie and associate Rustin Armknecht. The team also included Real Estate Co-Head Jannelle Seales and associate Douglas Illsley, along with Environmental Head Annemargaret Connolly.
