"Leonardo and Unicredit Secure €1.8 Billion Sustainability-Linked Revolving Credit Facility"

"Law firms Legance and Clifford Chance have assisted Leonardo and Unicredit, along with other financial institutions, in establishing a new sustainability-linked revolving credit facility worth €1.8 billion. This facility replaces the existing ESG-linked credit facility and extends its duration until 2030. The teams involved included various partners and associates from both law firms, as well as internal legal counsel from Leonardo."

The law firms Legance and Clifford Chance assisted, respectively, Leonardo and Unicredit as documentation agent, BNP Paribas and Crédit Agricole Corporate and Investment Bank as sustainability coordinators, and Intesa Sanpaolo as facility agent, along with other financial institutions, in the context of a new sustainability-linked revolving credit facility totaling €1.8 billion. This new credit line replaces the existing ESG-linked Revolving Credit Facility and extends its duration until 2030. Legance was represented by a team led by senior partner Andrea Giannelli and partner Antonio Siciliano, which also included senior associates Paolo Bossini and Andrea Canata, as well as senior counsel Riccardo Petrelli and associate Stefano Pesiri for tax matters. For Leonardo, the operation was managed internally by general counsel Federico Bonaiuto, along with Flavia Nigro, head of Corporate, Finance & IPR Legal, supported by Cristina Somai and Piero Di Fusco. Clifford Chance assisted the 26 banks involved with a team led by counsel Filippo Tassoni, supported by senior associate Giuseppe Chiaula, associate Gabriele Costanzo Piccinino, and trainee Elia Brustia. For tax aspects related to the financing contract, the team included partner Carlo Galli, senior associate Andrea Sgrilli, and associate Mario Martignago.
