Moncey Avocats assisted the founder of Leofresh, a company specializing in fine grocery and the export of fresh products, in a leveraged buyout (LBO) transaction with Elevation Capital Partners, which included the founder's reinvestment in the acquisition structure. Additionally, the firm acted as counsel for this structure during the acquisition of Moorea, a wholesaler recognized for its expertise in sourcing rare fruits and vegetables. This operation, supported by the Food Invest II fund managed by Elevation Capital Partners, was financed through senior debt arranged by Banque Populaire Rives de Paris and Banque Populaire Alsace Lorraine Champagne. This marks the fourth investment of the fund in the agri-food sector. The merger creates a group that combines Leofresh's international strength, present in 26 countries, with Moorea's expertise in sourcing exceptional products. Expected synergies include an expanded product offering, logistical pooling, development of B2B orders, and optimization of supply chains. The group aims to continue its organic growth trajectory with the ambition of increasing its size by approximately 60% over the coming years.
