Gildan Activewear Raises $1.2 Billion in Notes Offering to Finance HanesBrands Acquisition

"Gildan Activewear has successfully completed a $1.2 billion notes offering, which includes $600 million in 4.7% Senior Notes due 2030 and $600 million in 5.4% Senior Notes due 2035. The proceeds will help finance Gildan's acquisition of HanesBrands. Gildan, based in Montreal, is a major manufacturer of basic apparel, including activewear, underwear, and socks. The advisory team from S&C included several members, with additional tax advice provided by a separate team."

In a recent transaction, law firms Sullivan & Cromwell (S&C) and Davis Polk & Wardwell LLP participated in advising Gildan Activewear on its $1.2 billion notes offering and related acquisition of HanesBrands. Gildan Activewear, a Montreal-based leading manufacturer of everyday basic apparel, successfully completed a notes offering that included $600 million in 4.7% Senior Notes due 2030 and $600 million in 5.4% Senior Notes due 2035. The net proceeds from this offering will be utilized as part of the financing for Gildan's acquisition of HanesBrands. The S&C team advising Gildan on the offering comprised Neal McKnight, Mario Schollmeyer, Dan Loeser, Nolan Abboud, Katy Beeson, and Julia Raphael. Additionally, Davis Polk & Wardwell LLP provided counsel on tax matters, with a team that included Davis Wang, Tessa Lee, Stephen Profeta, and Zach Hayworth.
