Court Dismisses Securities Class Action Against Cutera Over Misleading Statements Regarding Acne Treatment Device

"A U.S. District Court judge dismissed a securities class action against Cutera and its officers, which claimed they made false statements about the company's internal controls and the launch of its acne treatment device, AviClear. The court found that the plaintiff, New England Teamsters Pension Fund, did not provide sufficient evidence that the statements were misleading or made with intent to defraud. The judge noted that the plaintiff failed to demonstrate that the defendants knew their statements were false at the time they were made, and some claims were considered abandoned due to lack of response."

The law firm Sullivan & Cromwell (S&C) represented Cutera and certain of its current and former officers and directors in a proposed securities class action. The transaction involved a dismissal by Judge Jon Tigar of the U.S. District Court for the Northern District of California regarding allegations that Cutera made false and misleading statements about its internal controls and the launch of its acne treatment device, AviClear. The lead plaintiff, New England Teamsters Pension Fund, filed an amended complaint after Cutera restated certain financial results for 2023. However, the court found that the plaintiff failed to adequately allege that the statements were false or misleading and did not demonstrate the requisite intent to defraud. The S&C team included Brendan Cullen, Alexis Holmes, and Bretton Laudeman, who are all attorneys involved in the case.
