"Freshfields Advises Mynaric AG on Successful Financial Restructuring Under German StaRUG"

"Global law firm Freshfields has successfully advised Mynaric AG on its financial restructuring using the German StaRUG proceedings. Mynaric, a manufacturer of laser communication solutions for the aerospace industry, implemented a debt waiver, equity capital reduction, and secured a restructuring loan. The process was complex due to Mynaric's international structure and the involvement of a US subsidiary. Freshfields provided comprehensive legal support across various areas, including Restructuring, Corporate, Tax, and Labour Law, with a team led by Partner Marvin Knapp."

Global law firm Freshfields Bruckhaus Deringer advised Mynaric AG on its financial restructuring, utilizing restructuring proceedings under the German StaRUG. The transaction involved a comprehensive restructuring plan that included a necessary debt waiver, an equity capital reduction, and the granting of a restructuring loan to secure financing for the Mynaric Group during the restructuring period. The process was technically complex due to the international structure of the Mynaric Group, the listing of Mynaric AG shares, and the inclusion of loan liabilities from a US subsidiary in the restructuring plan and debt-equity swap. The Freshfields team was led by Partner Marvin Knapp, with contributions from Principal Associate Christian Paterlini and Associates Pelle Klemens and Benedict Kebekus (all from the Restructuring practice in Hamburg). Corporate and Capital Markets advice was provided by Partner Simon Schwarz (Frankfurt/Hamburg) and Principal Associate Cosmas Weigel (Frankfurt). The tax assessment was handled by Partner Christian Ruoff and Associates Simon Ultes and Kevin Schröder (all from Hamburg). Labour Law support was provided by Partner Judith Römer and Associate Severin Pretzel (both from Hamburg). Additionally, Partner Kristina Weiler and Associate Jonas Lampert offered commercial support for the proceedings, while the New York office of Freshfields was involved concerning the US subsidiary of Mynaric AG.
