"Banco di Desio Launches €300 Million Fixed Rate Senior Preferred Bond with Legal Assistance from Chiomenti and Gianni & Origoni"

"Chiomenti and Gianni & Origoni law firms provided legal assistance for Banco di Desio e della Brianza's inaugural issuance of a €300 million fixed-rate reset senior preferred bond, aimed at institutional investors and listed on Euronext Dublin. The bond has a duration of 5 years and 3 months, with a fixed annual coupon of 3.250% until January 20230, after which it will be adjusted based on the Mid-Swap Rate plus a margin. IMI Intesa Sanpaolo acted as the global coordinator, with several banks serving as joint bookrunners. This issuance follows an update to Banco Desio's €3 billion Medium Term Note Programme."

The law firms Chiomenti and Gianni & Origoni provided legal assistance in the inaugural issuance by Banco di Desio e della Brianza of a fixed rate reset senior preferred bond loan valued at €300 million, aimed at institutional investors and listed on the regulated market of Euronext Dublin. The bond loan has a duration of 5 years and 3 months (maturing in January 2031) with a callable option exercisable in January 2030, and it carries a fixed annual coupon of 3.250% until the reset date (January 24, 2030). From that date, if the issuer has not exercised the call option, the coupon will be paid annually at a fixed amount equal to the one-year Mid-Swap Rate plus a margin of 100 basis points. The securities are governed by Italian law, issued in dematerialized form, and centralized at Euronext Securities Milan. The team from Chiomenti was coordinated by partners Gregorio Consoli and Benedetto La Russa, assisted by counsel Gioia Ronci and associates Flavia Spaziani Testa and Bruno Tullio. For tax-related matters, of counsel Maurizio Fresca and associate Giovanni Massagli were involved. Gianni & Origoni assisted the joint lead managers in the bond issuance and the arranger in the context of the MTN programme, with a team led by of counsel Richard Hamilton and comprising partner Marco Zaccagnini, counsel Elena Cirillo, and associate Matteo Ballotta, as well as partner Francesca Staffieri and counsel Carmen Adele Pisani for tax aspects.
