Kirkland & Ellis advised Warburg Pincus in its investment agreement with PSI Software SE (PSI) and the voluntary public takeover offer for all outstanding shares in PSI. The transaction involves a cash consideration of EUR 45.00 per PSI share, resulting in an equity valuation of approximately EUR 702 million for PSI. Following the settlement of the offer, Warburg Pincus plans to delist PSI from the stock exchange. PSI is a software development company specializing in optimizing the flow of energy and materials for utilities and industry, with a history as a technology leader since 1969. The company employs around 2,400 people across 30 locations worldwide and reported revenues of EUR 260.8 million in the financial year 2024.
