Latham & Watkins has advised institutional investors in a €200 million private placement tap of Kapla Holding’s existing 5% Senior Secured Notes due 2031. Kapla Holding is the holding company of Kiloutou, a leading European equipment rental company. The proceeds from this private placement are intended to be used for several purposes, including the full refinancing of Kapla Holding’s €49 million aggregate principal amount of stimulus bonds due November 25, 2030, refinancing recent acquisitions, general corporate purposes (which may encompass short-term M&A activities and/or partial refinancing of convertible bonds), and covering certain fees, costs, and expenses related to the issuance of the notes. The Latham team involved in this transaction included Paris Capital Markets partner Roberto Reyes Gaskin and associate Hana Ladhari. Additionally, advice on banking matters was provided by Paris partner Xavier Farde, along with associates Virginie Terzic and Bruna Neiva Cardante.
