Generali Successfully Issues First €500 Million Perpetual Restricted Tier 1 Bond

"Generali successfully issued its first perpetual Restricted Tier 1 bond, raising €500 million under its €15 billion EMTN program, attracting strong market interest with orders exceeding €4.6 billion from around 300 investors, 91% of whom were international. Legal assistance was provided by Cappelli Riolo Calderaro Crisostomo Del Din & Partners for Generali and Clifford Chance for the financial institutions involved, including Deutsche Bank as Global Coordinator and several other banks as Joint Bookrunners."

The law firms Cappelli Riolo Calderaro Crisostomo Del Din & Partners (Crccd) and Clifford Chance participated in the transaction, assisting the issuer Generali and the involved financial institutions, respectively. Generali successfully placed its first Restricted Tier 1 perpetual bond, issued under its €15 billion EMTN program, targeting institutional investors, with a total amount of €500 million. The issuance attracted strong market interest, with orders exceeding €4.6 billion from approximately 300 investors, of which 91% were international. Crccd assisted Generali with a team led by senior partner Michele Crisostomo, which included counsel Fiona Chung, senior associate Martina Baldi, and associate Bianca Casini – solicitor. Clifford Chance supported the financial institutions with a multidisciplinary team led by partner Gioacchino Foti, assisted by counsel Jonathan Astbury, senior associate Francesco Napoli, associate Nicole Paccara, and trainee lawyer Arianna Merlo. The tax aspects of the transaction were handled by partner Carlo Galli, along with senior associate Andrea Sgrilli and associate Greta Gavazzoni.
