Clifford Chance Advises Banks on Sofina's €545 Million Capital Increase

"International law firm Clifford Chance advised banks on Sofina's €545 million capital increase. BNP Paribas Fortis and Morgan Stanley served as global co-coordinators, with Belfius, ING, KBC Securities, and Société Générale as co-bookrunners. The operation involved issuing 2,446,428 new ordinary shares through a public offering in Belgium and a private placement to investors in Belgium, the EEA, and the UK. This significant move strengthens Sofina's position as a global investment company listed on Euronext, enhancing its diversified investment platform for long-term growth."

International law firm Clifford Chance advised the underwriter banks in the capital increase of Sofina, amounting to €545 million (including the issue premium). The transaction involved the issuance of 2,446,428 new ordinary shares through a public offering in Belgium as part of a cash capital increase under authorized capital, with the statutory preferential subscription rights being waived and extra-legal subscription rights granted to existing shareholders. Additionally, there was a private placement exempting unexercised scrips and corresponding new shares to investors in Belgium, the European Economic Area (excluding Belgium), and the United Kingdom. This significant operation strengthens Sofina's position as a global investment company listed on Euronext, with over 125 years of history, enabling it to develop its diversified investment platform and pursue long-term growth. The Clifford Chance team was led by Niek De Pauw, with contributions from Olivier Plessis, Wim Aerts, Chloé Petit, Sébastien Nerincx, Alexandre Ooms, and Thomas Linard de Guertechin, focusing on Belgian and US law.
