"Bimbo do Brasil Acquires Wickbold & Nosso Pão: A Landmark Deal in Brazil's Consumer Goods Sector"

"Bimbo do Brasil, a subsidiary of Grupo Bimbo, has acquired Wickbold & Nosso Pão Indústrias Alimentícias, including the well-known bread brands Wickbold® and Seven Boys®, along with four manufacturing facilities in Brazil. The deal, which involved complex legal and cultural considerations, was facilitated by Trench Rossi Watanabe for the buyer and Pinheiro Neto Advogados for the sellers. The transaction required antitrust negotiations and included the divestment of certain brands, as well as succession planning among the Wickbold family."

Trench Rossi Watanabe and Pinheiro Neto Advogados participated in the acquisition of Wickbold & Nosso Pão Indústrias Alimentícias and other entities of the group by Bimbo do Brasil, with Trench Rossi Watanabe advising the buyer and Pinheiro Neto Advogados advising the sellers. The transaction involved the acquisition of the well-known bread brands Wickbold® and Seven Boys®, along with four manufacturing facilities located in Brazil’s southern and southeastern regions. These facilities produce a diverse range of bakery products, including packaged bread, sweet baked goods, cookies, bisnaguinhas, and panettones, under one of Brazil's most traditional and beloved brands, which has an 87-year history. This landmark deal in Brazil’s consumer goods sector was characterized by its high cultural relevance and substantial legal complexity. Pinheiro Neto also handled sophisticated antitrust negotiations before CADE, leading to the transaction's approval with behavioral remedies and the divestment of the brands "Tá Pronto!" and "Nutrela." The terms for the divestment of the "Tá Pronto!" brand had to be formalized prior to closing through a binding document, adding further legal and transactional complexity. Additionally, the deal required succession planning and coordination among multiple family sellers, necessitating the negotiation of governance and representation structures to ensure alignment across generations of the Wickbold family. The legal teams involved in the transaction included partners and associates from both firms. Trench Rossi Watanabe's team comprised partners Mauricio Pacheco, Bruno Dreifus, and associates Marie Grinberg and Beatriz Brandao.
