Mattos Filho Advogados and Veirano Advogados participated in a significant transaction, advising Águas de Imperatriz (the issuer) and Saneamento Ambiental Águas do Brasil (the guarantor), and the National Bank for Economic and Social Development (BNDES), respectively. The transaction involved the issuer's first public offering of simple, non-convertible debentures, secured by collateral and additional surety, totaling BRL 500 million. This offering was coordinated by BNDES and executed under an automatic distribution registration procedure, utilizing a mixed regime of firm guarantee and best efforts placement. The offering was exclusively directed to professional investors, represented by Pentágono Distribuidora de Títulos e Valores Mobiliários. The net proceeds from the issuance will be allocated entirely to financing the project and the BRL 36 million financing obtained from BNDES, which is part of the Eco Invest Brasil – Blended Finance Program, aimed at promoting sustainable investments and mobilizing private capital for ecological transformation projects.
