"Global law firm Freshfields has advised the Canada Pension Plan Investment Board (CPPIB) on acquiring a 25% stake in FCC Servicios Medio Ambiente Holding (FCC Enviro) from Fomento de Construcciones y Contratas (FCC) for €1 billion. This follows CPPIB's previous acquisition of 24.99% of FCC Enviro for €965 million in 2023, also advised by Freshfields. After this transaction, CPPIB will hold a total of 49.99% of FCC Enviro, while FCC retains 50.01%. The deal involved a team of legal experts from Freshfields across various departments and locations."

This transaction follows CPPIB's earlier investment in 2023, where it acquired a 24.99% stake in FCC Enviro for €965 million, also with Freshfields acting as legal advisor. Upon completion of this latest transaction, CPPIB will hold a total of 49.99% of FCC Enviro, while FCC will retain the remaining 50.01%. The Freshfields team involved in this transaction included partner Armando Albarrán, senior associate Mario Pacini, associate Alberto Broseta, and trainee Xabier León, all from the Madrid office. From the Finance department, partners Aled Batey and Ana López, along with associate Inés Colás, contributed to the transaction. Tax regulations were advised on by partner Bosco Montejo and senior associate Álvaro Fernández. Additionally, Of Counsel Ignacio Borrego and associate Pilar Aguilar provided guidance on Spanish regulatory aspects, while partners Paul Van Den Berg and Álvaro Pliego, along with associate Rosa Warning, addressed competition law issues from the Amsterdam office.
