Simpson Thacher represented Franklin BSP Capital Corporation in its recent private offering of $300.0 million aggregate principal amount of 6.000% Notes due 2030. The Fund plans to utilize the net proceeds from this offering to reduce a portion of its outstanding indebtedness. The transaction was successfully closed on October 2, 2025. The Fund is an externally managed, non-diversified, closed-end management investment company that has opted to be regulated as a business development company under the Investment Company Act of 1940. Its investment objective focuses on generating both current income and capital appreciation through various debt and equity investments. Franklin BSP Capital Adviser L.L.C., an affiliate of Benefit Street Partners L.L.C., serves as the Fund’s investment adviser.
