Fidal Advises Albarest Partners on Majority Investment in Naturenville

"Fidal advised Albarest Partners on the Albacap 2 fund’s majority acquisition of Naturenville. The LBO arranges a progressive transfer by the founder while bringing management into the holding to support growth. The deal is Albacap 2’s second investment; Naturenville plans continued expansion in the Paris area."

Fidal advised Albarest Partners in connection with Albacap 2’s majority acquisition of Naturenville. Albarest Partners, an asset manager specializing in transmission and growth-capital operations, completed a majority stake acquisition in Naturenville via its fund Albacap 2. The operation was structured as an LBO designed to organise the progressive transfer of the company by its founder while including the management team in the holding company’s capital to support the continued development of Naturenville. This transaction represents the second investment by the Albacap 2 fund and a further step in Albarest Partners’ strategy toward SMEs and mid-cap companies. Albarest Partners, authorised by the Autorité des marchés financiers (GP-20000043), positions itself as a reference shareholder alongside company leaders in projects of transmission or turnaround. Founded in 2014 by Jean-Marc Lecocq, Naturenville specialises in the retail of organic fruit and vegetables in short supply chains, sourcing directly from producers. The brand, present in several Paris arrondissements and the Paris region (including Levallois-Perret, Puteaux and Chaville), is in strong growth and plans to continue adding one to two stores per year, with an eleventh outlet expected in November 2026 in the 15th arrondissement. Fidal represented client Albarest Partners with a team composed by: Clément Mogavero (partner), who led the multidisciplinary Lyon and Paris team; Valérie Dakowski (partner); Alexandra Briens (partner); Philomène Bonnet (lawyer); and Marie Trécan (partner). The team performed the target’s legal, social and tax due diligence (Valérie Dakowski, Alexandra Briens, Clément Mogavero and Philomène Bonnet), acted as legal counsel to Albarest Partners for the investment (Clément Mogavero and Philomène Bonnet), and advised on financing aspects of the transaction (Marie Trécan).
