Altaïr Avocats Advises Jean-Sébastien Grzlak on Acquisition of T.T.E. Group Subsidiaries

"Altaïr Avocats advised buyer Jean‑Sébastien Grzlak, with support from Aquiti, in the acquisition of T.T.E. group subsidiaries (T.C.V.N, Debeaulieu SA and Gaines Concept). The operation, intermediated by Nexair Industries, aims to continue T.T.E.'s development while preserving its teams and know‑how. Ellipse Avocats handled the social audit."

Altaïr Avocats advised Jean‑Sébastien Grzlak, with the support of Aquiti, in the acquisition of the subsidiaries of the T.T.E. group. Ellipse Avocats participated in the transaction by conducting the social audit. The transaction concerns the takeover of the three industrial subsidiaries that make up the T.T.E. group — T.C.V.N, Debeaulieu SA and Gaines Concept — a group created in 2014 and specialised in the design and manufacture of aeraulic ducts and bespoke sheet‑metal and boilermaking parts. The group employs 31 people across sites in the Cher, the Charente and the Gironde and is distinguished by a modern industrial tool and responsiveness. The transfer was supported by Aquiti through its RNA (Relance Nouvelle Aquitaine) and ACI (Aquitaine Création Investissement) vehicles and was carried out via Nexair Industries as intermediary. The operation aims to pursue the development of T.T.E. while respecting its workforce and technical know‑how. Altaïr Avocats accompanied Jean‑Sébastien Grzlak on all legal and tax aspects of the transaction, from structuring to completion, and intervened in the target due diligence covering corporate, tax, distribution/IP/data and social matters.
