White & Case advises banking syndicate on Soitec 500 million ORNANEs issuance and simultaneous delta placement

BNP Paribas and Goldman Sachs acted as global coordinators and joint bookrunners; Crédit Agricole CIB, J.P. Morgan and Société Générale were joint bookrunners for the bonds."

White & Case advised the banking syndicate in connection with Soitec’s issuance of ORNANEs and the simultaneous placement of existing shares by accelerated bookbuilding. Soitec issued senior unsecured notes with the option of repayment in cash and/or new and/or existing shares (ORNANEs) maturing in 2033 for a nominal amount of €500 million. The transaction was completed successfully on 25 September 2026 with qualified investors. The notes carry a fixed annual interest rate of 0.5%, payable annually, and will be admitted to trading on Euronext Access. The net proceeds of the issuance will be applied to the company’s general corporate purposes, which may include refinancing existing indebtedness and investments to support Soitec’s organic growth. Concurrently, to enable certain underwriters to hedge their exposure to the underlying shares, the banks organised a simultaneous placement (delta placement) of existing Soitec shares via an accelerated bookbuilding aimed exclusively at qualified investors. BNP PARIBAS and Goldman Sachs acted as global coordinators and joint bookrunners. Crédit Agricole Corporate and Investment Bank, J.P. Morgan and Société Générale acted as joint bookrunners for the bond issuance.
