A&O Shearman Advises Initial Purchasers on Stellantis Financial Services US Corp. USD1 Billion Private Placement of 6.400% Senior Notes due 2029

A&O Shearman advised the initial purchasers — Citigroup Global Markets Inc., Deutsche Bank Securities Inc., Goldman Sachs & Co. LLC, Intesa Sanpaolo IMI Securities Corp., Morgan Stanley & Co. LLC, RBC Capital Markets, LLC and SMBC Nikko Securities America, Inc. — in connection with Stellantis Financial Services US Corp.’s private placement of USD1 billion of its 6.400% senior notes due 2029. The transaction comprised a private placement by Stellantis Financial Services US Corp. of USD1 billion principal amount of 6.400% senior notes maturing in 2029. Stellantis Financial Services US Corp. is a wholly owned captive finance subsidiary of global automaker Stellantis and provides a broad credit spectrum of captive finance products, including retail installment sale and lease financing, as well as floorplan and other financial products to approximately 2,500 automobile dealers in the U.S., supporting sales of Chrysler, Dodge, Jeep, RAM, Alfa Romeo, FIAT and Maserati-branded vehicles. A&O Shearman represented the initial purchasers Citigroup Global Markets Inc., Deutsche Bank Securities Inc., Goldman Sachs & Co. LLC, Intesa Sanpaolo IMI Securities Corp., Morgan Stanley & Co.
