A&O Shearman advised the initial purchasers in connection with the Republic of Honduras’ Rule 144A and Regulation S offering of USD815,670,000 6.400% Notes due 2036 and the concurrent cash tender offer. The transaction comprised a public offering of 6.400% Notes due 2036 issued under Rule 144A and Regulation S, together with a simultaneous cash tender offer. The offering amount was USD815,670,000. The tender offer marks the Republic of Honduras’ first-ever tender offer. The Republic of Honduras intends to use the proceeds for general budgetary purposes and/or liability management transactions.
