Charles Russell Speechlys Advises TXT e-Solutions on Phased Acquisition of FMA Investment Holding

"Charles Russell Speechlys advised TXT e-Solutions on a phased acquisition of 100% of FMA Investment Holding S.r.l., owner of PipeGrep, B2B and Flag. TXT will acquire 88% at closing and the remaining 12% via a call option exercisable after FMA’s 2028 accounts; completion is expected by year-end subject to customary conditions and a corporate reorganisation. Charles Russell Speechlys advised TXT e-Solutions, and Baker Tilly Sidoti & Partners advised the sellers Marco Quaranta, Andrea Giovannetti and Fabrizio Landeschi. The transaction involves TXT e-Solutions’ phased acquisition of 100% of FMA Investment Holding S.r.l., the holding company of PipeGrep S.r.l., B2B S.r.l. and Flag S.r.l., a group specialising in IT infrastructure, data centre management and turnkey application development. The acquisition is intended to strengthen TXT’s position in the Digital Infrastructure sector and forms part of the company’s broader growth strategy through strategic acquisitions. Under the terms of the deal, TXT will acquire 88% of FMA Investment Holding at closing, with the remaining 12% subject to a call option exercisable following approval of FMA’s 2028 financial statements. The transaction is expected to complete by the end of the current financial year, subject to customary conditions and the completion of a corporate reorganisation.
