Advisors to Alcor in the Acquisition of Promotech

GA-Alliance STA advised Alcor in the acquisition of a majority stake in Promotech Italia; Deloitte conducted the due diligence for the transaction; Spada Partners handled tax aspects; notary Marco Perversi took care of notarial matters; and Banca Popolare di Milano provided financial support to the operation. Alcor, an investment holding founded by Eraldo Cavalli, has acquired a majority interest in Promotech Italia, the Viareggio-based company specialised in high-end lighting for yachting, luxury retail and hospitality. The deal envisages no predefined time constraints and aims to strengthen Promotech’s human resources, financial capacity and strategic expertise to accelerate growth, including through the aggregation of complementary players in the premium lighting sector and an expansion of operations in international markets. Founders Claudio Giampaoli and Federica Luppichini will retain operational leadership and a significant equity stake, ensuring business continuity and technical oversight. Alcor will also be directly involved in company management through Eraldo Cavalli, who will join the two founders as administrator. Alcor’s holding includes a group of investors active in yachting, design and finance, among them Paolo Colonna (Creazione di Valore), Stefano De Vivo (Wosa Yacht Refit), Michele Gualandi (Coswell), Umberto Nicodano (BonelliErede), Fabio Sattin (Private Equity Partners) and NextInv. Promotech, founded in 2004 in Viareggio, specialises in integrating lighting into complex design projects and has a consolidated presence in the over-40-metre yachting segment. Its collaborations span international brands and architecture and lighting design firms across Europe, the Middle East, Asia and the United States. Notable projects include the 65-metre yacht Regina d’Italia owned by Dolce&Gabbana, 35 Lamborghini-branded boats produced by Tecnomar and the 112-metre gigayacht Reinassance. GA-Alliance STA represented Alcor in the transaction with a team composed by: Marco Franzini (partner), Niccolò Lavilla (associate) and Niccolò Gentili (associate). Deloitte assisted the transaction by conducting the due diligence. Spada Partners represented Alcor on tax matters with a team composed by: Luca Zoani (partner) and Pasquale Miracolo. Notary Marco Perversi handled the notarial aspects of the operation. Banca Popolare di Milano provided financial support to Alcor as part of its activity supporting ETA/Search Fund operations.
