Bignon Lebray advised Aquastar Consulting, while Everlaw acted for Komposite Data Group. Other advisors on the transaction included Equidem as financial counsel to the seller, Eurvad Search as M&A counsel to the acquirer, Exelmans for financial due diligence and TACTIS for technical due diligence. The transaction consisted of the integration of Aquastar Consulting, a specialist in network management, cybersecurity and managed services in the Hauts-de-France region, into Komposite Data Group (KDG), a consulting and integration group focused on modernizing IT infrastructures with expertise in data, networks and cybersecurity. The integration strengthens KDG’s presence in the Hauts-de-France and broadens its offering across the full life cycle of critical IT infrastructures. With Aquastar Consulting’s integration, the combined group surpasses €50 million in annual revenue and reinforces its ambition to become a reference player in France on data, network and cybersecurity issues. BNP Paribas, Caisse d’Epargne Ile de France and Société Générale acted as lending banks on the operation. Bignon Lebray represented Aquastar Consulting with a team composed by: Alexandre Ghesquière (avocat associé) and Martin Wartelle (avocat, corporate law, mergers & acquisitions, private equity). Everlaw represented Komposite Data Group with a team composed by: Ran Hamou, Vanessa Itzkovitch and Agathe Barret. Equidem acted as financial advisor to the seller with Benoît Briet and Cédric Lepoutre. Eurvad Search acted as M&A counsel to the acquirer with Pierre Guiguan. Exelmans conducted the financial due diligence with Manuel Manas and Maxime Grelou. TACTIS conducted the technical due diligence with Yann Jaffre and Guillaume Souleres. The lending banks on the transaction were BNP Paribas, Caisse d’Epargne Ile de France and Société Générale.
