Alphabet in Inaugural A$5.5 Billion Australian Dollar-Denominated Notes Offering

Cleary Gottlieb represented Alphabet Inc., the parent company of Google LLC, in its inaugural unregistered offering of A$5.5 billion aggregate principal amount of Australian dollar-denominated senior notes. The offering comprised six tranches: A$500 million of 5.20% senior notes due 2029; A$750 million of floating rate senior notes due 2029; A$750 million of 5.50% senior notes due 2031; A$1.5 billion of floating rate senior notes due 2031; A$1 billion of 6.25% senior notes due 2036; and A$1 billion of 6.90% senior notes due 2046. Australia and New Zealand Banking Group Limited, Deutsche Bank AG, Royal Bank of Canada and The Toronto-Dominion Bank acted as dealer managers for the offering. The transaction closed on August 27, 2026. The net proceeds will be used for general corporate purposes, which may include repayment of outstanding debt.
