Oriental Hotels to merge into The Indian Hotel Company with Cyril Amarchand Mangaldas advising

"Cyril Amarchand Mangaldas advised The Indian Hotel Company Limited (IHCL) on the proposed merger of its associate Oriental Hotels Limited into IHCL by a board‑approved Scheme of Arrangement. The all‑stock deal provides an exchange ratio of 25 IHCL shares for 117 Oriental Hotels shares, with an appointed date of 1 April 2027 and completion targeted in H2 FY2028."

Cyril Amarchand Mangaldas advised The Indian Hotel Company Limited (IHCL) in the proposed merger of its associate Oriental Hotels Limited into IHCL. The boards of both companies approved a Scheme of Arrangement on 24 August 2026 to effect the merger. Under the all‑stock transaction, Oriental Hotels will merge with and into IHCL on an exchange ratio of 25 equity shares of IHCL for every 117 equity shares of Oriental Hotels. The appointed date for the merger is 1 April 2027, and completion is targeted in the second half of FY2028.
