Arsene advises TotalEnergies on acquisition of Shell's European onshore renewables portfolio

Arsene advised TotalEnergies in the acquisition; other legal advisors on the transaction included Borgen Tax (Netherlands), Maisto e Associati (Italy) and Unity (United Kingdom). TotalEnergies agreed to acquire from Shell the entirety of Shell’s onshore renewable energy portfolio in Europe, with a total capacity of approximately 4 GW. The portfolio comprises some 500 MW of solar and wind assets that are either operational or under construction, primarily located in Italy and the Netherlands, together with a development pipeline of about 3.5 GW of solar, wind and battery storage projects in Italy, the United Kingdom and Spain. Completion of the transaction is expected by the end of 2026, subject to receipt of the required regulatory approvals. The acquisition will strengthen TotalEnergies’ power generation activities across four key European markets—Italy, the Netherlands, the United Kingdom and Spain—and complement its existing presence across the electricity value chain. It also consolidates TotalEnergies’ European renewables portfolio, bringing it to nearly 10 GW of installed or under-construction capacity and some 27 GW in development. Arsene represented TotalEnergies with a team composed by: Olivier Vergniolle (associate), Amel Chekhab (manager) and Victoire Rappaz (collaborator). Borgen Tax (Netherlands), Maisto e Associati (Italy) and Unity (United Kingdom) also provided legal advice on the transaction.
