Arsene advises TotalEnergies on sale of 50% stake in 1.2 GW renewables portfolio to KKR

"Arsene advised TotalEnergies in the sale of a 50% stake in a 1.2 GW solar and onshore wind portfolio to an insurance account managed by KKR. FGS and Crido also advised TotalEnergies on tax due diligence and structuring in Germany and Poland. The portfolio is valued at €1.8bn and the transaction is expected to close in 2026, subject to customary conditions."

The law firms Arsene, FGS and Crido advised TotalEnergies in connection with the proposed sale of a 50% stake in a renewables asset portfolio to an insurance account managed by KKR; all three firms acted for TotalEnergies. The transaction concerns the sale by TotalEnergies of a 50% interest in a portfolio of onshore solar and wind assets with a total capacity of 1.2 GW, already largely developed. The portfolio, valued at €1.8 billion, comprises assets located in France, Germany, Spain and Poland. Under the terms of the operation, 50% of the portfolio will be sold to an insurance account managed by KKR, while TotalEnergies will retain the remaining 50% and will continue to operate the assets. The electricity produced by these facilities is already sold to third parties or will be marketed by TotalEnergies. Completion of the transaction is expected in 2026, subject to customary conditions.
