Baker McKenzie Advises Tradias on Merger with Boerse Stuttgart Digital

Baker McKenzie acted as legal adviser to Tradias GmbH in connection with its merger with Boerse Stuttgart Digital Holding GmbH (Boerse Stuttgart Digital). The transaction transferred all shares held by tradias’ shareholders to Boerse Stuttgart Digital, which will operate the combined business as a new Boerse Stuttgart Group unit. Boerse Stuttgart Digital, an infrastructure provider for cryptocurrencies and digital assets covering trading, custody, staking and tokenization, employs approximately 300 people. The shareholders sold their shares to Boerse Stuttgart Digital and received a reinvestment interest in return. The transaction required the approval of all shareholders and, upon completion of the qualifying holding procedure, was closed. Baker McKenzie advised on a wide range of governance matters and on the qualifying holding procedure before the German Federal Financial Supervisory Authority (BaFin) and Deutsche Bundesbank under the Markets in Crypto-Assets Regulation (MiCAR), the German Banking Act (KWG) and the German Investment Firm Act (WpIG). Baker McKenzie advised tradias on all legal aspects of the transaction.
