Caldera Therapeutics to Merge with Synlogic Concurrent with $278 Million Upsized Private Placement

"Cooley LLP advised the placement agents to Caldera Therapeutics on an approximately $278 million upsized private placement concurrent with Caldera’s merger with Synlogic. A syndicate of institutional investors including Bain Capital Life Sciences, TCGX, Atlas Venture, venBio, Omega Funds, Blackstone Multi‑Asset Investing, LAV, Wellington, Janus Henderson, Sirenia, Vivo Capital and others participated. The combined company will operate as Caldera Therapeutics, Inc., and intends to list on Nasdaq under CALD."

Cooley LLP advised the placement agents to Caldera Therapeutics in connection with an approximately $278 million upsized private placement concurrent with Caldera’s merger with Synlogic. The transaction consists of a merger between privately held, clinical‑stage Caldera Therapeutics and Synlogic, and an approximately $278 million upsized private placement arranged contemporaneously. Caldera is developing CLD‑423, a potential first‑in‑class TL1A x IL‑23p19 bispecific antibody for inflammatory bowel disease and other immune‑mediated diseases. The private placement drew participation from a syndicate of leading healthcare institutional investors and mutual funds, including Bain Capital Life Sciences, TCGX, Atlas Venture, venBio Partners, Omega Funds, Blackstone Multi‑Asset Investing, LAV, Wellington Management, Janus Henderson Investors, Sirenia Capital Management, Vivo Capital, several additional mutual funds and other institutional investors. Upon closing, the combined company plans to operate under the name Caldera Therapeutics, Inc. and intends to apply to trade on the Nasdaq Capital Market under the ticker symbol CALD.
