Bain Capital to acquire Vitabiotics for $1 billion with Khaitan, Kirkland, AZB and Macfarlanes advising

Khaitan & Co and Kirkland & Ellis advised Bain Capital on the transaction; AZB & Partners and Macfarlanes advised Vitabiotics and its Indian subsidiary Meyer Organics Private Limited; Baker McKenzie advised seller Professor Ajit Lalvani; and A&O Shearman advised the arrangers in relation to the committed financing. Bain Capital has agreed to acquire Vitabiotics Limited — including its UK operations and the wider VB Group, comprising Meyer Organics in India and operations in Africa including VB Egypt — in a transaction valued at $1 billion. Bain Capital said it will leverage local market expertise in India, sector knowledge, portfolio assets and global capabilities to support Vitabiotics in expanding its brands, enhancing its international presence and investing in sustainable growth across markets such as MENA and China. Vitabiotics, founded in 1971 by Professor Kartar Lalvani, is a leading British nutraceutical company with a portfolio that includes supplement brands such as Perfectil, Pregnacare, Wellman, Wellwoman and Menopace.
