A&O Shearman Advises on Innovative Brand-Linked Financing for Vedanta

"A&O Shearman advised a consortium of international financial institutions, acting as mandated lead arrangers and bookrunners, on two facilities to Twin Star Holdings Ltd., a Vedanta Resources subsidiary: a USD2.25bn term loan and a USD1bn bridge loan secured by Vedanta brand licensing receivables. A&O Shearman advised a consortium of international financial institutions, acting as mandated lead arrangers and bookrunners, on two concurrent facilities provided to Twin Star Holdings Ltd., a subsidiary of Vedanta Resources Limited. Additional legal advice to the arrangers was provided by Harneys Aristodemou Loizides Yiolitis LLC in Cyprus, BLC Robert & Associates in Mauritius and Madun Gujadhur Chambers LLP in Mauritius. The transaction comprises two parallel facilities secured against receivables arising from licensing of the Vedanta brand: a USD 2.25 billion term loan facility and a USD 1 billion bridge loan facility. These facilities form a key element of Vedanta Resources Limited’s broader financing strategy, reflecting continued lender confidence in the group and the growing use of brand-linked security structures in large-scale financings, particularly within the natural resources sector.
