A&O Shearman, BonelliErede and Advant Nctm in Dalli Group acquisition of Farmol

"A&O Shearman advised Dalli Group on its agreement to acquire 100% of Farmol, subject to regulatory approvals. BonelliErede and Advant Nctm advised seller Portobello Capital, while Biscozzi Nobili & Partners represented Farmol’s CEO. Farmol, acquired by Portobello in 2021, employs about 1,000 people across six sites in Italy, Hungary, Slovakia and Tunisia and specialises in contract manufacturing of aerosol and liquid personal care and home care products."

A&O Shearman advised Dalli Group, while BonelliErede and Advant Nctm advised seller Portobello Capital; Biscozzi Nobili & Partners represented Farmol’s Group CEO Roberto Rusticelli. Dalli Group has signed an agreement to acquire 100% of the share capital of Farmol. Completion of the transaction remains subject to the authorisations of the relevant regulatory authorities. Farmol was acquired by Portobello Capital in 2021. The company has approximately 1,000 employees across six sites in Italy, Hungary, Slovakia and Tunisia and is specialised in contract manufacturing of aerosol and liquid products for the personal care and home care categories. Assistance was also provided by A&O Shearman offices in Slovakia, Hungary, the Netherlands and Germany. BonelliErede represented seller Portobello Capital with a multidisciplinary team composed by: partner Augusto Praloran, assisted by associate Greta Zapparoli and Riccardo Rao Genovese.
