Ashurst Perkins Coie Advises Hilbert Investment Solutions on Italy’s First Direct-Listed Investment Certificate

"Ashurst Perkins Coie advised Hilbert Investment Solutions and its SPV Infinity ETN P.L.C. on the issuance and SeDeX direct listing of the first investment certificate aimed at the Italian market. The index-linked certificate provides diversified exposure to global equities, fixed income, commodities and cash. The firm also assisted on admission documentation and the liquidity provider agreement with Replica SIM."

Ashurst Perkins Coie advised Hilbert Investment Solutions and its issuance vehicle Infinity ETN P.L.C. on the transaction and supported the issuer in negotiating the liquidity provider agreement with Replica SIM. The operation concerned the issuance and admission to trading, on the SeDeX market of Borsa Italiana, by means of a direct listing, of the first investment certificate intended for the Italian market. The transaction marks Hilbert Investment Solutions’ debut on the Italian certificates market and forms part of the company’s expansion into listed investment products. The certificate is linked to an index and offers diversified exposure to global markets through investments in equity instruments, fixed-income instruments, commodities and cash, pursuant to a transparent and systematic methodology. Ashurst Perkins Coie assisted the issuer on all legal aspects of the transaction, including the preparation of contractual and transparency documentation and the admission to trading of the instruments on SeDeX, and provided support in the preparation and negotiation of the liquidity provider agreement with Replica SIM.
