Arnold & Porter Secures FTC Clearance for Aurobindo Pharma’s Acquisition of Lannett Company

"Arnold & Porter represented Aurobindo Pharma Limited in obtaining FTC clearance for its approximately $250 million acquisition of Lannett Company, Inc. Following FTC review, Aurobindo agreed to divest four overlapping generic products to Quagen Pharmaceuticals, and the agency granted early termination of the HSR waiting period on June 18, 2026."

Arnold & Porter represented Aurobindo Pharma Limited in securing Federal Trade Commission clearance for its acquisition of Lannett Company, Inc. The transaction involved the acquisition of Lannett, a manufacturer of generic pharmaceutical products, in a deal valued at approximately $250 million. The proposed combination raised overlap concerns in both marketed and pipeline generic products. Following advocacy before the FTC, the agency narrowed its competitive concerns to four products: mycophenolate mofetil oral suspension, niacin extended-release tablets, pilocarpine tablets, and rabeprazole sodium delayed-release tablets. Arnold & Porter negotiated a consent agreement with the FTC under which Aurobindo agreed to divest those four products to Quagen Pharmaceuticals LLC, enabling the transaction to proceed. The FTC voted 2-0 to accept the consent agreement for public comment and granted early termination of the Hart-Scott-Rodino waiting period on June 18, 2026, permitting the acquisition to close.
