Management Buyout Secures Future of J.G. Weisser Söhne

"SZA Schilling, Zutt & Anschütz, Anchor Rechtsanwälte, Taylor Wessing, allea and Roland Berger advised on a management buyout in which four long-standing executives acquired the business operations of J.G. Weisser Söhne. The transaction follows ~21 months of self-administration and secures 156 jobs at the St. Georgen site."

SZA Schilling, Zutt & Anschütz acted as the court-appointed administrator overseeing the self-administration on behalf of the creditors, while Anchor Rechtsanwälte, together with CRO Ansgar Lienert, managed the operational restructuring of J.G. Weisser Söhne. Taylor Wessing provided legal M&A advice to the seller, and allea and Roland Berger supported the transaction with business-management and M&A advisory services. A consortium of four long-standing executives completed a management buyout (MBO) of the business operations of J.G. Weisser Söhne GmbH & Co. KG and will continue to operate the business under the name J.G. Weisser GmbH. The MBO follows insolvency proceedings filed under self-administration in September 2024 after financial distress related to the COVID-19 pandemic and the insolvency of the company’s U.S. parent, Hardinge. Business operations continued under self-administration for approximately 21 months while a structured investor process was conducted in parallel. The management solution lays the foundation for the company’s long-term continuation and secures 156 jobs at the St. Georgen location. In December 2024 the Local Court (Amtsgericht) of Villingen-Schwenningen appointed Marc-Philippe Hornung, partner at SZA Schilling, Zutt & Anschütz, as administrator (Sachwalter). Hornung said he was extremely glad that a positive result had been achieved after a highly demanding process and thanked the workforce, customers and partners for their patience and constructive cooperation. SZA Schilling, Zutt & Anschütz represented the creditors and oversaw the self-administration of J.G. Weisser Söhne, with a team composed by: Marc-Philippe Hornung (Administrator/Sachwalter) and Katja Schmitt (Restructuring and Insolvency Law, Mannheim). Anchor Rechtsanwälte represented J.G. Weisser Söhne in the operational restructuring, with a team composed by: Markus Fauser, Tobias Wahl and David Blum, together with CRO Ansgar Lienert. Taylor Wessing represented the seller in the M&A process, with a team composed by: Dr. Hendrik Boss, Julia Siedhoff and Christian Benko. allea supported the transaction with business management advice, with a team composed by: Lars Steinhagen. Roland Berger assisted with the M&A process, with a team composed by: Christoph Burkhardt.
