Flick Gocke Schaumburg advises REWE Group on investor agreement for Feneberg stores

Flick Gocke Schaumburg advised the REWE Group on a joint investor agreement with the self-administration of Feneberg Lebensmittel GmbH (FLM) and LEH Allgäu GmbH to secure the future of the Feneberg outlets. FLM has been in insolvency proceedings in self-administration since April 1, 2026. Under the proposed agreement, LEH Allgäu GmbH and the REWE Group intend to operate a significant proportion of the 72 Feneberg outlets independently. The transaction is subject to approval by the Federal Cartel Office and the advice provided by Flick Gocke Schaumburg covered the antitrust law aspects of the investor agreement, including the forthcoming proceedings before the Federal Cartel Office. Flick Gocke Schaumburg represented the REWE Group with a team composed by: Dr. Florian C. Haus; associates: Dr. Anna-Lena Weusthof, Dr. Valentin Urban (all antitrust law). Background: Feneberg Lebensmittel GmbH was founded in 1947 and, since 2025, has been led by Amelie Feneberg as the fourth generation of the founding family. The 72 stores serve a region extending approximately 100 kilometres in all directions from the company’s headquarters in Kempten. Earlier this year, Flick Gocke Schaumburg also advised the REWE Group on the planned acquisition of up to 40 Tegut outlets from Migros Zurich cooperative; the firm previously advised on the acquisition of 15 real outlets in 2023 and on establishing a cooperation agreement with real GmbH and the related Federal Cartel Office proceedings in 2022.
