FPS advises Winter Brothers Invest on sale of True Sports Labs shares and shareholders' agreement

"FPS advised Winter Brothers Invest UG on the sale of shares in True Sports Labs GmbH and the establishment of a shareholders’ agreement and joint venture; Osborne Clarke represented the Schwabe Group. The deal closed in July 2026 and positions True Sports Labs to scale internationally with Schwabe, combining Schwabe’s phytopharma expertise and True Sports Labs’ Hydraid sports-hydration products."

Law firm FPS advised Winter Brothers Invest UG on the sale of shares in True Sports Labs GmbH and the establishment of a shareholders’ agreement and joint venture, while Osborne Clarke represented the Schwabe Group. The transaction comprised the sale of shares in True Sports Labs GmbH and the establishment of a shareholders’ agreement and joint venture. True Sports Labs GmbH provides innovative products for the sport and health sector with a focus on regeneration, prevention and performance optimisation. Its brand portfolio includes Hydraid®, a powdered hydration and electrolyte solution offered in convenient sticks and available in twelve flavours, designed to improve fluid supply for athletes and active people. Since 2024 Hydraid® has been the official hydration partner of FC Bayern Basketball and is used by top athletes and Olympians. The Schwabe Group is an internationally active pharmaceutical company specialising in the research, development and manufacture of plant-based medicines (phytopharmaceuticals). The company operates in numerous countries and is one of the world’s leading providers of evidence-based herbal medicines. With the closing of the transaction and the establishment of the joint venture in July 2026, True Sports Labs GmbH gains the opportunity to pursue its growth and internationalisation strategy together with a strong strategic partner. Schwabe’s entry combines the know-how of an established healthcare company with the innovation of a start-up in the field of functional sports hydration and electrolytes.
