Silentium Ltd. files F-1/A registering proposed NYSE American IPO

Greenberg Traurig, P.A., Goldfarb Gross Seligman & Co. and Carter Ledyard & Milburn LLP acted as legal counsel to Silentium Ltd., and ThinkEquity served as the lead underwriter for the proposed offering. Silentium Ltd., an Israeli development-stage company focused on software-based Active Acoustics solutions for vehicles, filed Amendment No. 2 to its Form F-1 registration statement with the U.S. Securities and Exchange Commission on July 7, 2026, in connection with its proposed initial public offering of ordinary shares. The company is seeking to sell 2,150,000 ordinary shares in a firm-commitment IPO and has indicated an expected price range of $6.00 to $8.00 per share, using a $7.00 midpoint for illustrative purposes. Based on that midpoint, Silentium expects to receive approximately $12.5 million in net proceeds, or approximately $14.7 million if the underwriters fully exercise their 45-day over-allotment option for up to 322,500 additional shares. Silentium has applied to list its ordinary shares on NYSE American under the symbol SIAI. ThinkEquity is identified on the cover page as the lead underwriter/representative of the underwriters; no additional underwriting firms are specified in the filing excerpt. The offering is a U.S. equity capital markets transaction by a foreign private issuer, coupled with the company’s registration of ordinary shares under the Securities Act of 1933 and its intended uplisting to NYSE American. Proceeds are to be used for new OEM customer acquisition, research and development, expansion with existing OEM customers, strengthening Tier-1 and semiconductor relationships, adjacent market expansion, and working capital and general corporate purposes.
