Orrick advises Abivax on $920 million Nasdaq ADS offering

Orrick advised Abivax SA (Euronext Paris: FR0014000B76 – ABVX) in connection with the transaction described below. The transaction comprised a public offering of American Depositary Shares (ADS) on the Nasdaq Global Market amounting to approximately $920 million (approximately €807 million), an unprecedented financing for a French biotechnology company. Following the offering, Abivax’s market valuation exceeded €10 billion. The proceeds are intended to fund the potential U.S. commercialization of obefazimod (ABX464), Abivax’s lead drug candidate, to support clinical research and development—principally for ulcerative colitis and Crohn’s disease—and to provide working capital and for general corporate purposes. Abivax is a clinical‑stage biotechnology company focused on developing treatments that harness the body’s natural regulatory mechanisms to stabilise immune responses in patients with chronic inflammatory diseases. Headquartered in France with operations in the United States, Abivax is advancing obefazimod in Phase 3 clinical development for the treatment of moderate to severe active ulcerative colitis.
