ABC Company closes investment in Tensotend and C.S.C. Allestimenti through ABC Events

Chiomenti advised the financing banks BCC Banca Iccrea and BCC Milano and also acted for the sellers; PedersoliGattai and Ropes & Gray advised ABC Company; Fantozzi & Associati assisted ABC Company on tax matters. ABC Company, a consulting firm and permanent capital vehicle listed on Euronext, has completed its investment to acquire a majority of the share capital of Tensotend and C.S.C. Allestimenti, operators active in the production, sale and rental of tensile structures and tents for events and industrial applications. The transaction, announced in January and approved by ABC Company’s shareholders on 5 February 2026 under the rules applicable to reverse take-overs, was executed through the club deal named ABC Events promoted by ABC Company with the aim of creating an integrated industrial platform in the Italian market for temporary structures and event fittings for events, trade fairs, sports, fashion and industrial uses. The transaction was financed through a senior acquisition financing facility provided by BCC Banca Iccrea and BCC Milano. Anthilia Capital Partners supported the project by providing a mezzanine financing line to ABC Events, contributing to the completion of the transaction’s capital structure. Chiomenti represented the financing banks BCC Banca Iccrea and BCC Milano with a team composed by: partner Davide D’Affronto (team leader), Gabriella Abbattista, Luca Serino, Sofia Borsellino, Lisa Marangon and Francesco Burla. The tax aspects of the financing were handled by Maurizio Fresca and Giovanni Massagli. PedersoliGattai represented ABC Company with a team composed by: partner Matteo Sica Fiorillo, supported by Leonardo Panerai and Rebecca Giovanna Forgione. Partner Nicola Martegani, supported by Mauro Bognolo, handled the legal due diligence aspects of the transaction. Ropes & Gray represented ABC Company with a team composed by: partner Alessandro Capogrosso, co‑advised by Federica Giovannini and Costanza Cappelli. Fantozzi & Associati represented ABC Company on tax matters with a team composed by: equity partner Andrea Montanari (team leader), salary partner Edoardo Boggi and senior associates Roberto Trentarossi and Elvira Viola.
