August Debouzy advises Aura Aero on acquisition of VoltAero assets to accelerate aviation decarbonisation

August Debouzy advised Aura Aero in connection with Aura Aero’s acquisition of the assets and activities of VoltAero. VoltAero was represented by Maître Marc Dufranc and Maître Pauline Brute de Rémur; the procedure was followed by SCP CBF Associés and SELARL EKIP’; the employee representatives were assisted by Maître Meddy Miloud and Maître Alexandra Dupuy. The transaction concerns the takeover of VoltAero’s assets and activities pursuant to the sale plan approved by the Commercial Court of La Rochelle on 23 June 2026. The acquisition is part of a broader sovereign investment dynamic supporting the emergence of a French reference player in hybrid-electric aviation and preserving strategic technological and industrial capabilities on the national territory. By acquiring VoltAero’s assets, Aura Aero will integrate complementary expertise in hybrid-electric architectures, system integration, flight testing and data analysis. The scope of the takeover notably includes the assets and know-how developed around the Cassio S hybrid-electric flying demonstrator, which has accumulated several years of flight experience. The operation reinforces Aura Aero’s development and industrialisation capacities in support of its decarbonised aircraft programmes, including INTEGRAL, ENBATA and ERA, and consolidates a French supply chain for sustainable aviation. The court selected Aura Aero’s offer on the basis of the coherence of its industrial project with VoltAero’s work, its commitment to maintaining activity at the Rochefort site, and the prospects for pursuing the technological developments underway. The tribunal approved a total sale plan in favour of Aura Aero and ordered the transfer of certain assets, contracts and work positions attached to the activity taken over. August Debouzy represented Aura Aero with a team composed by: Laurent Cotret (partner), Clément Quernin (counsel) and Abel Martin (lawyer) within the firm’s restructuring practice. VoltAero was represented by: Maître Marc Dufranc and Maître Pauline Brute de Rémur, lawyers at the Bordeaux bar. SCP CBF Associés followed the procedure in the person of: Maître Thibaut Patard-Piedmont, judicial administrator. SELARL EKIP’ acted in the person of: Maître Marie-Adéline Rousselot-Gegoue, appointed mandataire then judicial liquidator. The employee representatives were assisted by: Maître Meddy Miloud and Maître Alexandra Dupuy, lawyers at the La Rochelle bar.
